Voucher Purchase Terms

These terms (the “Terms”) apply when you buy a gift voucher through a restaurant or hospitality venue (the “Merchant”) whose voucher sales page is hosted on the TableFox platform. TableFox is a trading name of Hospitality Online Ltd, a company registered in England and Wales (Company No. 17049167), with registered office at Suite 18 Peel House, 30 The Downs, Altrincham, England, WA14 2PX (“TableFox”, “we”, or “us”). “You” means the person buying or holding the voucher.

Agreement

This Agreement is entered into between the buyer (“You”) and the Merchant identified on the voucher sales page from which you make your purchase. It takes effect on the date of purchase (the “Effective Date”).

Terms

  1. Definitions. For the purpose of these Terms: “Merchant Products and/or Services” means the goods and/or services provided by the Merchant which are described as part of a Voucher; “Voucher” means a voucher, gift card or ticket made available for sale on a website that links to the TableFox software-as-a-service platform (the “TableFox Platform”), which can be redeemed (in whole or in part) in exchange for Merchant Products and/or Services from the Merchant; “TableFox”, “we” or “us” refers to Hospitality Online Ltd trading as TableFox; and “you” refers to the purchaser or holder of a Voucher.
  2. Our role. We act on behalf of our client (the “Merchant”) to allow it to sell Vouchers created via the TableFox Platform. We act only as an intermediary between you and the Merchant. You acknowledge that it is the Merchant, and not TableFox, who enters into the contract with you when you purchase and/or redeem a Voucher for the Merchant Products and/or Services (the “Contract”). These Terms are supplemental to and duly incorporated into the Contract.
  3. The Contract. The Contract shall comprise: (i) these Terms; and (ii) any applicable terms stipulated by the Merchant in relation to the Voucher (including any voucher-specific terms shown on the sales page, the voucher itself, or any confirmation email you receive). You agree to be bound by all such provisions. If there is any conflict or inconsistency between these Terms and any applicable terms stipulated by the Merchant, these Terms shall prevail to the extent of the conflict or inconsistency.
  4. Merchant responsibility. You acknowledge that it is the Merchant, and not TableFox, who takes sole responsibility for providing you with the Merchant Products and/or Services and for any and all aspects of the Merchant Products and/or Services themselves. TableFox does not review or control, and is not responsible in any way for, Merchant Products and/or Services, and at no time does TableFox possess or offer any items offered for sale by Merchants through the TableFox Platform. TableFox does not promise the completeness, fitness for purpose or legality of the Merchant Products and/or Services. In no event shall TableFox be liable to you to provide the Merchant Products and/or Services, including without limitation for any refund or replacement in the event of non-performance by the Merchant (whether arising as a result of breach or the Merchant being liquidated, becoming insolvent or otherwise). These Terms do not affect your statutory rights, which rest with the Merchant.
  5. Enquiries and refunds. Please direct any enquiries in relation to use of your Voucher, including any request for a refund, to the Merchant.
  6. Liability we do not exclude. TableFox does not exclude liability for (a) any death or personal injury caused by TableFox’s negligence; (b) fraud or fraudulent misrepresentation made by TableFox; or (c) any implied contractual terms that cannot be excluded or limited under applicable law.
  7. Cap on our liability. Other than as set out in clause 6 above, TableFox’s maximum liability to you in respect of the Merchant Products and/or Services, the Voucher and the Contract, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is an amount equal to the total amount paid by you for the Voucher.
  8. Indemnity. You shall indemnify us against any loss, liability or cost incurred by us arising as a direct or indirect result of any claims or legal proceedings brought or threatened against us by any person arising from your use of a Voucher.
  9. Governing law. These Terms shall be governed by the same law as the Contract, and disputes arising under these Terms shall be submitted to the same jurisdiction as the Contract.
